These Terms of Use (hereinafter "ToU") govern access to and use of the ClipHow platform, published by ClipHow SAS (hereinafter "ClipHow", "we").

By accessing the ClipHow platform, the User acknowledges having read these ToU and accepts them without reservation.

1. Definitions

  • Plateforme : the ClipHow web application available at https://cliphow.com.
  • Client : the organization (legal entity) that has subscribed to ClipHow.
  • Utilisateur : any individual with an account on the platform, created by the Client or by ClipHow.
  • Administrateur : User with full management rights (accounts, billing, uploads, courses, assignments).
  • Manager : User who can upload videos, create and edit courses, and assign training to their team.
  • Employee : User who can view and complete courses assigned to them.
  • Contenu : videos, transcriptions, courses, quizzes and any other content published via the platform.

2. Purpose

ClipHow is a SaaS platform for enterprise knowledge management through video. It enables transcription of internal videos, transformation into structured training courses with quizzes, and provides an AI conversational agent that answers user questions by citing relevant video excerpts.

These ToU are intended to define the conditions of access and use of the platform by Users.

3. Access to the Platform

Access to ClipHow is reserved for Users with an account created as part of a subscription taken out by a Client.

Accounts are created and activated manually by ClipHow or by the Client's Administrator. There is no self-registration.

The User agrees to provide accurate and up-to-date information when creating their account, and to maintain the confidentiality of their login credentials.

4. Use of the Platform

The User agrees to use the platform in accordance with its intended purpose, i.e. within a professional framework of training and internal knowledge management.

The User is prohibited from:

  • Using the platform for unlawful purposes or in violation of these ToU.
  • Attempting to access data from other organizations or unauthorized Users.
  • Circumventing or attempting to circumvent the platform's security measures.
  • Uploading unlawful, defamatory, abusive content or content infringing third-party rights.
  • Copying, reproducing or extracting all or part of the platform, its source code or its content.
  • Using automated systems (bots, scrapers) to access the platform.

5. Content Uploaded by the Client

The Client retains ownership of videos and content uploaded to the platform. By using ClipHow, the Client grants ClipHow a limited, non-exclusive license to process this content (transcription, structuring, indexing) solely for the purpose of providing the service.

ClipHow does not reuse Client content for purposes other than providing the service. Content is not shared with other clients.

6. Artificial Intelligence

ClipHow uses artificial intelligence services (provided by Mistral AI) for video transcription, course and quiz generation, and the operation of the conversational agent.

AI-generated results are provided as assistance. ClipHow does not guarantee the accuracy, completeness or relevance of automatically generated content. It is the Client's responsibility to verify and validate content before distributing it to their teams.

7. Service Availability

ClipHow strives to keep the platform accessible at all times. However, access may be temporarily interrupted for maintenance, updates, or force majeure.

ClipHow does not guarantee continuous and uninterrupted service availability and shall not be held liable for damages resulting from temporary unavailability.

8. Intellectual Property

The ClipHow platform, including its source code, design, features, algorithms and documentation, is the exclusive property of ClipHow SAS. Any unauthorized reproduction or use is prohibited.

Content generated by the platform (transcriptions, courses, quizzes) from the Client's videos is the property of the Client.

9. Personal Data Protection

ClipHow collects and processes personal data in compliance with the GDPR and the French Data Protection Act. Details regarding data processing are described in our Privacy Policy.

10. Liability

ClipHow uses reasonable means to ensure the quality and security of the service. However:

  • ClipHow is not responsible for content uploaded by the Client.
  • ClipHow is not responsible for the Client's use of AI-generated content.
  • ClipHow's liability is limited to the total amount actually paid by the Client during the twelve (12) months preceding the event giving rise to the claim.

11. Suspension and Termination

ClipHow reserves the right to suspend or terminate the access of a User or Client in the event of a breach of these ToU, without prejudice to any damages.

In the event of suspension, the User will be informed by email of the reasons for the suspension.

12. Modification of the ToU

ClipHow reserves the right to modify these ToU at any time. Users will be informed of any substantial modification by email or via the platform. Continued use of the platform after modification constitutes acceptance of the new ToU.

13. Applicable Law and Jurisdiction

These ToU are governed by French law.

In the event of a dispute relating to the interpretation or performance of these ToU, the parties shall endeavor to find an amicable solution. Failing that, the dispute shall be submitted to the competent courts of the jurisdiction of the registered office of ClipHow SAS.
