Terms of Sale

These General Terms of Sale (hereinafter "GTS") govern the contractual relationship between ClipHow SAS (hereinafter "ClipHow", "the Provider") and any legal entity subscribing to the ClipHow platform (hereinafter "the Client").

1. Definitions

• Plateforme : the ClipHow SaaS service available at https://cliphow.com.
• Client : the legal entity that has subscribed.
• Utilisateur : any employee of the Client with access to the Platform.
• Contenu : videos, transcriptions, courses and data uploaded or generated by the Client via the Platform.

2. Purpose

These GTS are intended to define the conditions under which ClipHow provides the Client with access to the Platform as a SaaS license (Software as a Service).

3. Subscription and Duration

4. Pricing and Payment

5. Service Level Agreement (SLA)

6. Intellectual Property

The Client retains full ownership of all Content uploaded or created on the Platform. ClipHow claims no ownership rights over Client Content.

ClipHow retains the intellectual property of the Platform, its source code, algorithms and AI models.

7. Personal Data Protection

The processing of personal data is governed by our Privacy Policy and our Data Processing Agreement (DPA), appended to these GTS.

ClipHow acts as a data processor within the meaning of Article 28 of the GDPR. The Client is the data controller for its employees' data.

8. Artificial Intelligence

The Platform uses artificial intelligence services (Mistral AI, French company, EU hosting) for transcription, course generation, and the conversational agent.

• Client data is not used to train AI models.
• Progress and activity data must not constitute the sole basis for automated individual decisions within the meaning of Article 22 of the GDPR.

9. Liability

10. Termination

In the event of termination, ClipHow provides the Client with a complete export of their data in a structured format (JSON/ZIP) within 30 days. After this period, data is permanently deleted. A certificate of destruction is provided upon request.

11. Security

ClipHow implements the technical and organizational measures described in its Data Processing Agreement (DPA), including :

• AES-256 encryption at rest and TLS 1.2+ in transit.
• Multi-factor authentication (MFA) mandatory for owners and administrators, available for all users.
• Data isolation per organization (Row Level Security).
• Audit logging of all sensitive actions.
• Daily backups with point-in-time recovery.

12. Applicable Law and Jurisdiction

These GTS are governed by French law. Any dispute shall be submitted to the competent courts of the jurisdiction of the registered office of ClipHow SAS.
